Dear Mr. Prasath,
We, the undersigned — Daniel Ruphail Sagaya Vijayanth, Proprietor of Special Exfoliate Layers Laboratory (SELL), a registered Micro MSME Manufacturing Unit (UDYAM-TN-06-0096927), Dindigul, Tamil Nadu — are pleased to formally offer you a structured engagement as IP Commercialization Director for the commercialization of our patented technology, MAS-C™, under the terms set out in this letter.

2. Role & Responsibilities of the IP Commercialization Director
You are being engaged as the IP Commercialization Director for MAS-C™ with the following scope of work:

1.
Identify and approach potential buyers, licensees, and strategic partners for MAS-C™ on behalf of SELL MSME.
2.
Conduct outreach across relevant sectors including steel structures, modular construction, aquaculture, industrial systems, and international connector companies.
3.
Represent MAS-C™ professionally in all oral and written communications with prospective buyers.
4.
Report all conversations, leads, buyer responses, and next steps to the Proprietor promptly after each interaction.
5.
Conduct initial negotiations under the guidance of the Proprietor — all final pricing, terms, and commitments rest solely with SELL MSME.
6.
Maintain strict confidentiality of all patent details, pricing strategy, anchor values, and commercialization plans at all times.
3. Profit Sharing Structure
Option B — Cost Recovery First, then Equal Distribution Step 1 — Cost Recovery: From the total deal value (whether from outright sale or licensing income), SELL MSME shall first recover all documented and verifiable costs incurred for the MAS-C™ patent. This includes patent filing fees, annual renewal fees, prototype development costs, injection mould tooling, MSME registration charges, and any other direct expenditure related to the patent, as agreed by all parties at the time of deal closure. Step 2 — Equal Distribution: The remaining balance after cost recovery (the Net Distributable Amount) shall be divided equally in five equal shares (20% each) among all five parties.

mutually agreed upon by all parties in writing at the time of deal closure.
4. Terms of This Engagement
1.
No retainer or fixed payment: This is a purely performance-based engagement. No payment is due to any party until a deal (sale or license) is successfully concluded and funds are received by SELL MSME.
2.
No exclusivity: SELL MSME reserves the right to pursue commercialization through other channels, agents, or advisors simultaneously without obligation.
3.
Authority limits: The IP Commercialization Director may conduct outreach and initial discussions but does not have authority to sign any agreement, commit to a final price, or bind SELL MSME in any way without prior written approval from the Proprietor.
4.
Confidentiality: All information relating to the patent, pricing strategy, anchor values, buyer discussions, and commercialization plans is strictly confidential and must not be disclosed to any third party without the Proprietor’s written consent.
5.
Duration: This engagement shall remain in force until a deal is concluded or until either party provides 30 days’ written notice of termination.
6.
Governing law: This engagement shall be governed by the laws of India, subject to the jurisdiction of courts in Dindigul, Tamil Nadu.

If you agree to the terms of this offering, please send a written acceptance email to: vijayanthruphail@gmail.com Your acceptance email must include the following statement: “I, [Your Full Name], hereby accept the offer of engagement as IP Commercialization Director for MAS-C™ Patent (IN 459387), issued by SELL MSME vide Ref No. SELL/MAS-C/ICD/2026/001 dated 07 June 2026, and confirm my agreement to all terms stated therein.” Your email reply shall constitute your formal acceptance and will serve as the binding record of this engagement.
