The Patent Owner hereby grants the Patent Monetize the following rights:

• To market, promote, and showcase the patent(s) on the Patent Monetize platform and other marketing channels.
• To negotiate the terms of sale, licensing, or other monetization models, as agreed in subsequent documentation.
• To facilitate direct communication between sellers and interested buyers through the open platform of Patent Monetize.

5. Description of Our Solutions

Our service includes:

• Allowing sellers to list their patents and communicate directly with potential buyers.
• Providing investors lists, market research reports, agreement preparation, and other required resources to sellers.
• Marketing the patent(s) through appropriate channels and platforms to attract potential buyers/licensees.
• Conducting preliminary evaluations of buyer/licensee interest and providing updates to the Patent Owner.
• Maintaining confidentiality of sensitive information provided by the Patent Owner.
• Facilitating the negotiation process and ensuring fair terms for all parties involved.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

6. Patent Owner Obligations

The Patent Owner shall provide accurate and complete documentation of the patent(s), including:

• Patent title and abstract
• Patent number(s) and jurisdiction(s)
• Proof of ownership
• Technical and non-technical descriptions

Additionally, the Patent Owner agrees to:

• Respond promptly to requests for additional information, including any due diligence materials required by potential buyers/licensees.
• Inform the Patent Monetize of any direct inquiries from buyers/licensees and redirect them to the Patent Monetize if necessary.
• Ensure that the patent(s) are free from legal encumbrances or disputes unless otherwise disclosed in writing.

7. Intellectual Property Rights

All content and materials available on our services, including but not limited to text, graphics, logos, images, and software, are the property of Patent Monetize and are protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the fullest extent permitted by law, Patent Monetize shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our services.

9. Indemnification

You agree to indemnify and hold Patent Monetize, its affiliates, officers, directors, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way connected with your use of our services.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of New Delhi - India, without regard to its conflict of law provisions.

11. Updates to Terms

We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Your continued use of our services after any such changes constitutes your acceptance of the new Terms and Conditions.
